MEMORANDUM OF THE INDIAN MEDICAL ASSOCIATION, DINDIGUL BRANCH

Whereas the Registered Medical Practitioners/ Doctors practicing Modern Scientific System of Allopathic Medicine have an association at the Centre under the name of ‘Indian Medical Association’ (I.M.A.) which was originally founded in the year 1928 and has been functioning continuously thereinafter with branches in the State and also in District and Sub-District levels, affiliated to the Indian Medical Association either directly or indirectly through the State branches.
Whereas the Doctors of Modern Scientific System of Medicine who are the members of the Indian Medical Association through the I.M.A Tamilnadu State Branch and who are resident and/or practicing within the district limits of Dindigul have decided to form an association under the above mentioned name to be duly registered under the Tamilnadu Societies Registration Act, 1975 for the objects mentioned herein below and to function under the umbrella of and in co-operation with the Indian Medical Association and its Tamilnadu State Branch and in pursuance of the same the signatories hereunder have formed the association and have formulated and subscribed to the bye-laws of the association appended hereto and hereinafter agreeing to be bound and guided by the bye-laws of the Indian Medical Association, Dindigul Branch.

To co-ordinate and co-operate with the I.M.A and its Tamilnadu State Branch in its activities.
To ensure economical and easily accessible medical care for all and especially to the weaker and poorer sections of the society and for that
  purpose render community service on its own or in cooperation or by entering in to agreements with governmental and non-governmental
  organizations, societies, trusts and other individuals and also jointly formulate and implement health care programmes with them.
To serve as a platform for transmission of knowledge regarding latest trends and developing dimensions of the modern medical and
  allied sciences by organizing seminars, workshops and other educative gatherings of medical and other allied professionals.
To establish and develop and/or to participate or co-operate in establishing medical laboratories with most modern and advanced
  equipments and processes thereby enhancing the quality of medical care in the District and also in the State
To protect the dignity and honour of the medical profession and the medical professionals and devise and functionalize schemes
  for their welfare
To sustain the feeling of fellowship among members and for that purpose organize social gatherings of members along with their families.
To invest in movable and immovable properties for effective functioning and carrying on the activities of the association and for
  achieving the objectives in the fullest manner possible.
To establish a library and to publish and circulate books, journals, souvenir etc., in furtherance of the objects of the association
To do all things incidental and necessary and conducive to the effective realization of the objectives setout herein above

We the undersigned expressing our desire to have this association named “Indian Medical Association Dindigul Branch” registered under the Tamilnadu Societies Registration Act, 1975 (Act 27 of 1975) and the Tamilnadu Societies Registration Rules 1978 and the periodical amendments thereto have put our signature and subscribed to this memorandum in the presence of two witnesses

The Association comes within the jurisdiction of the Registrar of Societies Cum
District Registrar, Dindigul
10:00 a.m. to 5:00 p.m.
As stated in the Memorandum
 
a. The Executive Committee of the Association may admit any person, who is a Registered Medical Practitioner with the Medical Council of India directly or indirectly and is a practitioner of the Modern Allopathic System of Medicine and its specialized forms, into the life membership of the Association if that person also fulfills the following criteria
makes an application to the Executive Committee of the Association in the prescribed form/forms along with the requisite fee and
is practicing or residing within the district limits of the Dindigul District and
is already a member of the I.M.A and I.M.A.Tamilnadu State Branch or is willing to becoming a member of the I.M.A. and
I.M.A.Tamilnadu State Branch by complying with the conditions including the payment of requisite fees and
has paid the membership fees of Rs 2300/ - ( Two Thousand Three Hundred Only) to the Association
b. Nevertheless any person who is a member of I.M.A. and I.M.A Tamilnadu State Branch and also any other Branch of I.M.A could also become an Associate Member of the Association on payment of fees of Rs …………..and such an Associate Member shall not be eligible to hold office or stand for election or to take part in the election of the office bearers of the Association for 5 years from the date of so becoming an Associate Member.
c. Every life member shall pay a yearly subscription of Rupees 100/- on or before 30th September and only those members who pay the subscription as above would be eligible to stand for and hold any office in the Association and vote in the election.
d. The Executive Committee of the Association may recommend the I.M.A.Tamilnadu State Branch to remove any person from the membership whether life or associate, of the Association, if such person is involved in activities detrimental to the interest of the Association and medical profession. The decision of the State Branch pursuant to such recommendation shall be final. Pending decision of the State Branch the member may be suspended from his membership of the Association by the Executive Committee.
e. Any life member who fails to pay the yearly subscription to the Association continuously for 3 years shall be automatically removed from the membership of the Association and shall be re-admitted on payment of the arrears of subscription along with a penalty of Rs 100/- within 3 months from such removal. Otherwise the person has to seek admission as a new member by paying again the membership fee.

This shall be from 1st January to 31st December every year

a) There shall be an executive committee of 15 members i.e., 7 office bearers and 8 executive members viz.,

  TEN Executive Members (Elected) from whom one shall be selected as the Editor of the IMA Dindigul Branch Journal and one shall be selected as the Chairman of the Quackery Eradication Committee
Three Ex-Officio Executive Members (Nominated) viz., the immediate former President and immediate former Honorary Secretary of the Association and the immediate former Honorary Finance Secretary of the Association and in case such nominated persons ceasing to be members by any reason whatsoever, the former Vice President and former Honorary Joint Secretary, and any other former Executive member as the case may be shall be nominated by the E.C.)

The elections for the New Executive Committee shall be held between October 15th to November 15th once in two years and the newly elected Executive Committee shall assume office on the 1st of January the following year and shall hold office for a period of two years there from or till a subsequently elected Executive Committee assumes office.
Even if any Executive Committee is elected in or after the month of January in a particular year the term shall end by the December of the next year notwithstanding the fact that the term of two years is not complete.

It is clarified that notwithstanding anything contained in sub-clause (b) of rule 9, the present Executive Committee shall hold office till the end of April 2010 and the next newly elected committee will hold office from May 2010 to December 2011 and the present committee shall call for and conduct elections in the month of March 2010.

A person who has been a member of the Association continuously for a period of not less than 5 years is only eligible to stand for the election in to any post in the Executive Committee.

Any vacancy arising in the Executive Committee shall be filled up by Executive Committee itself first by co-opting from among the existing members of the Committee and then from the members of the Association who unsuccessfully contested the election and lastly from the general body of members. This shall be subject to the procedure prescribed for filling up the vacancy in the nominated members to the E.C.
The Executive Committee shall meet at least once in every three months, on a date to be fixed by the Honorary President and 3 days prior notice of the same shall be given by the Honorary Secretary to all the committee members. The 3 days prior notice shall not apply to a meeting called for under an emergent situation, where a notice can be given through phone, fax or short messaging service.
The president shall finalize the agenda and preside over the meetings of the Executive Committee where decisions shall be taken by a simple majority and in case of equal division of votes; the president shall have a casting vote. In case of absence, the vice-president shall take over position of the president and shall exercise his powers for the time being.
The quorum for the meeting shall be seven and in case there is no quorum half an hour before the time fixed, the meeting shall be adjourned for another half an hour and after half an hour the meeting shall proceed with the available members irrespective of the fact that whether there was quorum or not and no resolution passed or decision taken thereon in such an adjourned meeting shall be liable to be questioned on the ground that there was no quorum.
Any person who does not attend the Executive Committee meeting continuously for three times without any reasonable cause shall cease to be a member of the Executive Committee automatically.
The proceedings of the meetings shall be recorded in the form of minutes and the persons attending shall sign the same.
The Honorary President and the Honorary Secretary shall, on the very next day of the meeting display in the Notice Board maintained for that purpose in the Association premises, a copy of any resolution passed or any decision taken in the Executive Committee meeting.
The Executive Committee shall be responsible for the day-to-day functioning of the Association and for that purpose hire for remuneration temporarily or under any written contract any person for the effective working of the Association.
The Executive Committee shall finalize the schedule of election and also appoint an election officer who shall with the assistance of the members of the Association conduct the election and declare results.
The Executive Committee may form one or more committees or sub-committees from among the members of the Association for executing and coordinating various activities and objects of the association, under its control.
General Body Meeting
There shall be at least one General Body Meeting Convened in a financial or official year by giving 21 days notice before the day appointed for the meeting to all the Members (life and Associate) of the Association and 1/10th of the members of the Association is the quorum for the meeting. In case there is no quorum one hour before the fixed time the meeting shall be adjourned for another one hour and after such adjourned time, the meeting shall proceeding with the members present.
The Honorary President and in his absence the Honorary Vice President shall preside over the meeting and propose resolutions on behalf of the Executive Committee.
The resolutions shall be passed and decisions shall be taken in the General Body Meeting by simple majority of the members present at the meeting, except regarding the matters for which special resolution needs to be passed. In case of equal division of votes the president or the vice-president, as the case may be shall have a casting vote.
The Annual Report on the functioning of the Association and the audited financial balance sheet of the Association for that year shall be placed before the General Body by the Honorary Secretary and Honorary Finance Secretary respectively, for discussion and comments. Any particular decision taken or resolution passed by the Executive Committee during that year which is subsequently disapproved by the majority of the General Body Members in the General Body Meeting shall cease to have effect from that day onwards and things already done shall not be affected.
The General Body shall also appoint three members of the Association (not being Executive Committee Members) or in the alternative a duly qualified Auditor for auditing the finance of the Association for the following year.
The General Body shall transact any other business as brought in by the Executive Committee or any other member of the Association. In case of individual members desirous of putting up any matter for discussion at the General Body Meeting or inviting a resolution to be passed on any subject, a notice regarding the same shall be given to the Executive Committee at least 7 days before the date fixed for GBM and the Executive Committee shall forthwith publish the same in the notice board in the Association. Any member seeking to raise any matter for discussion or inviting any resolution to be passed at the GBM, otherwise than as stated above, shall do so only after getting the permission of the President of the Association
An extra ordinary general body meeting shall be called for and conducted as per Section 28 of the Act 27 of 1975 and rule 27 of the Tamilnadu Societies Registration Rules 1978. In case of members one tenth of the total members can give a written request to the Executive Committee for calling such a meeting.
Copies of the Records Copy of Resolutions, Bye Law and other records of the Association shall be given to any member on written application to the Honorary Secretary on payment of a fee of Re 1/- for a page .
The Chairman of the Committee shall be elected and he/she shall co-opt two members of the association who along with the Honorary Secretary as the ex-officio member shall constitute the committee to fight against the quack medical practitioners.
As per the directions given, the procedures prescribed and criteria fixed from time to time by the I.M.A and its Tamilnadu branch such number of members of the Association shall be selected to be State Council Members and Central Council Members of I.M.A central and Tamilnadu Branch respectively.
The provisions of the Tamilnadu Societies Registration Act 1975 and the Tamilnadu Societies Registration Rule 1978 as amended from time to time shall apply to and be read as a part and parcel of these bye-laws, regarding the aspects and matters for which no specific provision is made in the bye-laws of the Association.
The bye-laws of the I.M.A and I.M.A.Tamilnadu State Branch shall be harmoniously construed with the bye-laws of the Association for a smooth working and Co-ordination with them and in case any doubt as to the interpretation of the bye-laws the decision of the President shall be final.
